Have LOI for a M&A Transaction, buyer is NY Corporation, seller is based in Los Angeles. Consideration offered is cash and stock, need accountant for advice transaction structuring (338(H)10, tax-free exchange, asset/stock sale). Small deal ~3m consideration.
